1. Scope of Work

The Contractor agrees to furnish all labor, materials, equipment, and services necessary to complete the following work at the project location specified above:

The Contractor will make every reasonable effort to complete the work within the estimated timeline. Delays due to weather, material shortages, unforeseen conditions, or changes requested by the Client may extend the completion date. The Contractor will promptly communicate any anticipated delays.

3. Contract Price & Payment Terms

Payment is required according to the following schedule. By initialing below, the Client acknowledges and agrees to these terms:

Deposit 20% Upon acceptance & signing of this Agreement $
Progress Payment 30% At the halfway completion point of the project $
Final Payment 50% On the last day of project completion $

Accepted payment methods: Cash or Check only.

LATE PAYMENT FEE: Any outstanding balance not paid by the due date specified above will be subject to an additional 5% late fee applied to the unpaid balance. This fee will be assessed immediately upon the payment becoming past due.

4. Change Orders

Any changes to the scope of work described above must be agreed upon in writing by both parties. Change orders may affect the project timeline and total cost. No additional work will be performed without a signed change order. The Contractor will provide a written estimate for any requested changes before work begins.

5. Materials & Workmanship

The Contractor will provide quality materials suitable for the intended purpose unless specific materials are requested by the Client. All work will be performed in a professional manner consistent with industry standards and applicable building codes. The Client may request specific brands, grades, or types of materials, which may affect the total contract price.

6. Permits & Inspections

The Contractor will obtain all necessary building permits and schedule required inspections as part of the project. Permit fees are included in the contract price unless otherwise noted. The Client agrees to provide reasonable access to the property for inspections.

7. Warranty

The Contractor warrants all workmanship for a period of one (1) year from the date of project completion. This warranty covers defects in workmanship and installation. Manufacturer warranties on materials and products are separate and will be passed through to the Client. This warranty does not cover damage caused by misuse, neglect, natural disasters, or modifications made by others.

8. Insurance & Liability

The Contractor maintains general liability insurance and workers' compensation coverage. Proof of insurance is available upon request. The Contractor is not responsible for pre-existing conditions, concealed damage, or hazardous materials (such as asbestos or lead paint) discovered during the project. If such conditions are found, the Contractor will stop work and notify the Client before proceeding.

9. Property Access & Site Conditions

The Client agrees to provide the Contractor with reasonable access to the project site during normal working hours. The Contractor will take reasonable precautions to protect the Client's property, including covering floors and furniture as needed. The Client is responsible for removing personal belongings, valuables, and fragile items from the work area prior to the start of work.

10. Cleanup

The Contractor will maintain a clean and safe work site throughout the project. Upon completion, the Contractor will remove all debris, tools, and leftover materials from the property. Final broom cleaning of the work area is included.

11. Cancellation & Termination

Either party may terminate this Agreement with written notice. In the event of cancellation:

12. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, both parties agree to seek mediation before pursuing any legal action. This Agreement shall be governed by the laws of the State of Missouri.

13. Entire Agreement

This Agreement, along with any attached change orders or addenda, constitutes the entire agreement between the parties. No verbal agreements or representations shall be binding unless incorporated into this document in writing. Any modifications to this Agreement must be made in writing and signed by both parties.

14. Acknowledgment of Terms

By signing below, both parties acknowledge that they have read, understand, and agree to all terms and conditions outlined in this Agreement, including the payment schedule (20% deposit, 30% at midpoint, 50% upon completion) and the 5% late payment fee on any outstanding balances.
